Agreement to these Terms

These Terms and Conditions (the "Terms") govern your use of terranex-marketing.online (the "Site"), operated by TERRANEX MARKETING & CONSULTING LLC ("Terranex", "we", "us" or "our"), a limited liability company registered in the State of Wyoming, United States, with an office at 304 S Jones Blvd, Las Vegas, NV 89107.

By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

What the Site is for

The Site provides general information about Terranex and its B2B consulting, business development and deal support services. The content is for information only. It is not an offer to provide services, and it does not create a client, advisory or fiduciary relationship between you and Terranex.

Our services and engagement agreements

Terranex provides services only under a written engagement agreement signed by Terranex and the client. That agreement sets out the scope of work, each party's responsibilities, confidentiality terms and all fees.

• Fees. Our fees, including any success fee calculated as a percentage of deal value, any retainer and any reimbursable expenses, are set in the engagement agreement. Prices shown on the Site are indicative starting points in US dollars. They are not an offer, and the fee for any engagement is the one stated in its engagement agreement.
• Priority. If these Terms and an engagement agreement conflict, the engagement agreement governs the services.
• Enquiries. Sending us an enquiry does not oblige either of us to enter an engagement.

No legal, tax or investment advice

Nothing on the Site is legal, tax, accounting, investment or securities advice, and nothing on the Site is an offer to sell or a solicitation of an offer to buy any security. You should obtain advice from appropriately licensed professionals before making any decision about a transaction.

No guarantee of results

Every transaction depends on factors outside our control, including the decisions of counterparties, market conditions and due diligence findings. Terranex does not guarantee that any opportunity will be found, that any negotiation will succeed or that any deal will close. Descriptions of our services and approach are not promises of a particular outcome.

Acceptable use

You agree not to:

• use the Site in any way that breaks an applicable law or regulation;
• attempt to gain unauthorized access to the Site, its server or any connected system;
• introduce malicious code, or interfere with the normal operation of the Site;
• scrape or harvest content or contact details from the Site by automated means without our written permission;
• submit false information or impersonate another person or company; or
• send confidential or price-sensitive information through the contact form before a confidentiality agreement is in place.

Intellectual property

The Site and its content, including text, design, graphics and the Terranex name and marks, belong to Terranex or its licensors and are protected by intellectual property laws. You may view and print pages for your own internal business reference. You may not copy, republish, sell or create derivative works from the content without our written permission.

Information you send us

You are responsible for the accuracy of the information you send us and for having the right to share it. We handle personal information as described in our Privacy Policy. Information sent through the Site is not treated as confidential unless a confidentiality agreement between us says so.

The Site may link to websites we do not control. Links are provided for convenience and are not an endorsement. We are not responsible for the content, security or practices of third-party websites.

Disclaimers

The Site is provided "as is" and "as available". To the fullest extent permitted by law, Terranex disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Limitation of liability

To the fullest extent permitted by law, Terranex and its members, managers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising from your use of the Site or reliance on its content.

To the fullest extent permitted by law, our total liability for any claim arising from your use of the Site will not exceed one hundred US dollars (US$100). Liability in connection with our services is governed by the applicable engagement agreement. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnity

You agree to indemnify and hold harmless Terranex and its members, managers, employees and agents from any claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site.

Governing law and venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the jurisdiction of those courts.

Changes to the Site and these Terms

We may change or withdraw any part of the Site at any time. We may also update these Terms. The "Last updated" date at the top of the page shows the current version, and your continued use of the Site after a change means you accept the updated Terms.

General

If any part of these Terms is found unenforceable, the remaining parts stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Terranex about your use of the Site.
